LA SOCIEDAD ANÓNIMA COMO CONSUMIDORA Y SUS PROBLEMAS PRÁCTICOS

En el presente artículo analizaremos a la sociedad anónima como consumidora en el derecho panameño, partiendo de una referencia comparativa con el derecho comunitario y español, los cuales lamentablemente no permearon en nuestra legislación.
Partimos del hecho de que en el derecho comunitario europeo solo concibe como consumidor a la persona física y que el derecho español permite a la persona jurídica con matices, excluyendo cualquier posibilidad de admitir como consumidoras a las personas jurídicas mercantiles. Lo anterior queda plasmado en el ámbito comunitario de las directivas , mientras que es más amplio en el caso de España , especialmente por incluir dentro de la acepción a las personas jurídicas , y aún más amplio en el caso del derecho y jurisprudencia panameña, que admiten como consumidor a cualquier persona jurídica, incluyendo a las sociedades mercantiles, lo que supone un riesgo de generalización de una norma especial en contra del derecho contractual civil y mercantil.
En Panamá la Ley 45/2007 y la jurisprudencia permiten que la sociedad anónima que es un ente mercantil por naturaleza, pueda considerarse como consumidora .
